A Special Meeting of the Members has been called by the Board of Directors for approval of the Continuance of the organization from Manitoba to Federal. The Special Meeting will be held virtually on April 17, 2023, at 5:00 pm CT.
On December 19, 2022, the Board of Directors approved a motion to present the membership of the Canadian Pride Historical Society with a recommendation to proceed with an application to continue (import) the corporation into the Canada Not-for-profit Corporations Act from The Manitoba Corporations Act.
The reasons for this recommendation are as follows:
- As a national non-profit organization, the CPHS should fall under national regulations versus a single Province.
- Corporations Canada applies very tough tests before granting a company the right to use a particular name. When a company’s name is approved, it’s protected across the country – a status second only to trade-mark protection.
- Federally incorporated companies can carry on business anywhere in Canada, and there are no restrictions regarding the province or territory where the head office is located, corporate records are maintained and annual general meetings are held.
- Federal incorporation is often considered a sign of distinction, companies incorporated federally receive global recognition as Canadian companies.
- Incorporating federally will allow more funding opportunities.
